About Giki Social Enterprise Ltd and these Terms of Use
GIKI SOCIAL ENTERPRISE LTD has its registered offices at 20-22, Wenlock Road, London, England, N1 7GU. The websites and mobile applications (together the "Platforms") are owned and edited by GIKI SOCIAL ENTERPRISE LTD.
These terms of use ("Terms of Use") govern your use of the Platforms. In these Terms of Use, we use the term Giki, "we", "us" and "our" to refer to the head office of Giki at the registered address above and its affiliates.
These Master Terms of Use govern your use of all Giki Platforms. Where specific services have supplemental terms (such as Giki Actions Terms or Giki Guides), those supplemental terms incorporate these Master Terms by reference.
Please read these Terms of Use carefully before using the Platform. By using the Platform, you signify your assent and agreement to these Terms of Use. If you do not agree to these Terms of Use, then you are not authorised to continue use of the Platform.
Updates to these Terms of Use
We may make changes from time to time to these Terms of Use so please check back regularly to keep informed of updates. The latest version of these Terms of Use will always be available on the Platform. Any new version of these Terms of Use shall take effect and will govern the use of the Platform and your relationship with us immediately upon the date of posting. By continuing to use the Platform, you agree to be bound by the terms of these updates and amendments.
Our privacy policy
Our information collection practices on the Platforms, such as the types of information we collect regarding visitors to the Platforms and the ways in which we may use that information, are governed by the terms of our Privacy Policy which explains your rights under UK data protection law.
1. Ownership and definition of content
All content on the Platforms, including but not limited to text, graphics, logos, images, photographs, illustrations, icons, video clips, music, written materials, data, algorithms, models, software, designs, and the compilation of any of the foregoing (collectively, "Giki Material") are owned by Giki Social Enterprise Ltd or its content suppliers and are protected by international copyright, trademark, designs and other intellectual property laws and under international treaty provisions and national laws worldwide.
2. Permitted limited use
You may download one computer copy or print one copy of the Giki Material made available to you via the Platforms, or download Giki's application on to your mobile device, for your own non-commercial, educational, private or domestic use only, provided that proprietary notices, in particular intellectual property notices such as copyright©, trademark™, are preserved intact and are not modified, deleted or changed.
3. Prohibited uses
You are not authorised to:
- Sell, reproduce, distribute, communicate, modify, display, publicly perform, report or otherwise prepare derivative or second hand works based on or use any Giki Material in any way for any public or commercial purposes;
- Display or communicate Giki Material on any other platform, in a networked computer environment or on any other digital platform for any purpose whatsoever;
- Remove, obscure, or alter any copyright, trademark, or other proprietary rights notices from the Giki Material;
- Scrape, data mine, or use automated means to collect, extract, or harvest any Giki Material from the Platforms;
- Use Giki Material without proper attribution and prior written consent when such use is permitted.
4. Required attribution and permission requests
In the limited circumstances where Giki grants permission for Content use, proper attribution must be provided in the following format: "© [Current Year] Giki Social Enterprise Ltd. Originally published at [Giki website URL]. Used with permission."
Requests for permission to use Giki Material must be submitted in writing to hello@giki.co.uk and must specify: a) The exact Giki Material requested; b) The intended use; c) The duration of the intended use; d) The platform(s) where the Giki Material will appear.
Giki reserves the sole discretion to grant or deny any such requests.
Any unauthorised use of Giki Material may infringe copyright laws, trademark laws, the laws of privacy and publicity, and communications regulations and statutes.
5. Your submissions and unsolicited communications
This section concerns communications sent to Giki. It does not concern the communication of personal information to Giki in relation to enquiries or the use of services. The latter is governed by the rules stipulated in the Privacy Policy.
Any unsolicited communication or material that you transmit to Giki via the Platforms or through social media, by electronic mail or otherwise, including, but not limited to, any data, questions or answers, comments, suggestions, or the like will be treated as non-confidential and non-proprietary by Giki. By sending communications to Giki, you automatically grant Giki a worldwide, royalty-free, perpetual, irrevocable, non-exclusive licence to use, reproduce, modify, publish, edit, translate, distribute, perform, and display such communication(s) alone, or as a part of other works in any form, media, or technology whether now known of hereafter developed and to sublicense such rights to anyone. Anything that you transmit may be used by Giki and its affiliated companies for any purpose, including but not limited to reproduction, disclosure, transmission, publication, broadcast and posting, or developing and marketing services using such information. Giki cannot agree to or accept to be the receiver of unsolicited proposals of collaboration.
6. Limitation of liability
Giki tries to ensure that the information provided is accurate and complete. However, Giki does not warrant or represent that Giki's Material is accurate, error-free or reliable or that use of Giki Material will not infringe rights of third parties.
Giki does not warrant that the functional and/or technical aspects of the Platforms or the Giki Material will be error free or that the Platforms, Giki Material or the servers that make them available are free of viruses or other harmful components. If use of the Platforms or Giki Material results in the need for servicing or replacing property, material, equipment, data or other element, Giki is not responsible for those costs. Without limiting the foregoing, everything on the Platforms (including any Giki Material) is provided to you "AS IS" AND "AS AVAILABLE" AND, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, REASONABLE CARE AND SKILL, OR NON-INFRINGEMENT. Giki and its suppliers make no warranties about the Giki Material, software, text, downloads, graphics, and links, or about results to be obtained from using the Platforms.
Although the Giki Material has been produced and processed from sources believed to be reliable, your use of the Giki Material is at your own risk and we make no representation as to the accuracy or reliability of the data. The algorithms and models that are used to generate results in on Giki's platforms including Giki Actions, GikiCalcs, Giki Zero are based on Giki's own objective criteria and independent research, and should not be relied on by you as substitute for your own investigation or research.
We are not responsible for any health problems that may result from any information that you learn about through the Giki Material. If you rely on any Giki Material instead of undertaking your own investigation or research, you do so at your own risk. No content and information available or provided by the Platform is intended to replace the relationship between you and your doctor, or other medical provider or dietitian.
To the fullest extent permitted by applicable law, Giki shall not be liable for any indirect, incidental, special or consequential damages of any kind arising out of or in connection with the use of information available from the Platforms or any liability relating to any loss of use, interruption of business, lost profits or lost data, regardless of the form of action, whether in contract, tort (including negligence) or otherwise, even if Giki has been advised of the possibility of such damages.
Nothing in these Terms excludes our liability to consumers for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under UK law. For business users, all limitations above apply in full.
7. Use of platform
When using the Platforms, you agree to:
- Comply with all applicable laws and regulations;
- Respect the rights of others;
- Use the Platforms only for lawful purposes;
- Provide accurate information when required
You must not:
- Use the Platforms in any way that violates applicable laws
- Transmit any viruses, malware, or harmful code
- Attempt to gain unauthorised access to any systems or networks
- Interfere with or disrupt the Platforms or servers
- Use automated systems to access the Platforms without permission
- Engage in any activity that could damage, disable, or impair the Platforms
Violation of these conduct rules may result in immediate termination of your access, legal action, or reporting to law enforcement authorities.
8. Trademark notice
In general, all trademarks, logos and service marks (collectively the "Trademarks") that appear on the Platforms are registered, unregistered or otherwise protected Giki trademarks or are licensed for use by Giki by third parties. Other trademarks are proprietary marks and are registered to their respective owners. Nothing contained on the Platforms should be construed as granting, by implication or otherwise, any licence or right to use any trademark without Giki's prior written permission or that of such third party who owns the trademark. Misuse of any trademark displayed on the Platforms, or any other content on the Platforms, except as provided herein, is strictly prohibited.
9. Copyright notice
All content (including Giki Materials) on the Platforms are either Copyright © Giki or are licensed for use by Giki. All rights are reserved. Please refer to the section above on Use of Materials on the Platforms.
10. Links & linking
The Platforms may contain links to other platforms operated by third parties not affiliated to Giki. The inclusion of any link to such third party sites does not imply endorsement by Giki of those sites. Giki has not reviewed all of the content contained in the linked sites and is not responsible for the content or accuracy of any off-site pages or any other sites linked to any of the Platforms. If you choose to click through any link to off-site pages or third party sites then this is at your own risk. Giki does not authorise linking to any of its Platforms from a third party platform without its express prior written authorisation.
11. Termination and suspension
You agree that Giki may terminate or suspend your access to and use of the Platforms if Giki reasonably believes that you have violated or acted inconsistently with the letter or spirit of these Terms of Use, or violated the rights of Giki, its affiliated companies or any third party, with or without notice to you. You agree that Giki may modify or discontinue providing any of the Platforms, with or without notice to you. You agree that Giki will not be liable to you or any third party as a result of such modification or discontinuation. The provisions entitled "Limitation of liability", "Intellectual Property Notices", "Applicable law and jurisdiction" and "General provisions" will survive termination of these Terms of Use.
12. General provisions
Unless otherwise specified, the information and Giki Materials presented on the Platforms are presented solely for the purpose of promoting Giki's services. Giki makes no representation that Giki Material is appropriate or available for use in every country of the world. You are responsible for compliance with applicable local laws, keeping in mind that access to Giki Material may not be legal by certain persons or in certain countries.
If any provision, or part of a provision, of these Terms of Use is found to be illegal, invalid or unenforceable, that provision or part-provision shall be deemed not to form part of these Terms of Use, and the legality, validity or enforceability of the remainder of the provisions of these Terms of Use shall not be affected, unless otherwise required by operation of applicable law.
These Terms of Use constitute the entire agreement between you and us in relation to the use of the Platform, and replace and extinguish all prior agreements, draft agreements, arrangements, undertakings, or collateral contracts of any nature made by the parties, whether oral or written, in relation to such subject matter.
The waiver by Giki of a breach of any provision of these Terms of Use will not operate to be interpreted as a waiver of any other or subsequent breach.
13. Applicable law and jurisdiction
These Terms of Use are governed by the laws of England & Wales. If you are a consumer, you may bring legal proceedings in your local courts. If you are a business, you agree that the courts of England & Wales shall have exclusive jurisdiction over any dispute arising from these Terms.

Giki Actions Terms

These Giki Actions Supplemental Terms apply when you subscribe to or use Giki Actions. These supplemental terms incorporate and should be read together with the Giki Master Terms and Conditions. Where these supplemental terms conflict with the Master Terms, these supplemental terms shall prevail for matters relating to Giki Actions.
1. Subscription Services
1.1 Service Tiers
Giki offers subscription tiers with varying levels of access to Giki Actions platform features and content. The specific features available in each tier, and the pricing, are detailed on our pricing pages and may be updated from time to time.
1.2 Subscription Period
The duration of your subscription period depends on your subscription type as specified on our pricing pages or in your subscription confirmation. Common subscription types include monthly, annual, fixed-term subscriptions (such as workshop access), and subscriptions granted through invite codes, sign up links or third-party platforms. Your subscription period begins on the date of your initial sign-up or, where applicable, the date you redeem an invite code.
1.3 Renewal
Auto-renewing subscriptions: Some subscription types (such as monthly or annual paid subscriptions) will automatically renew at the end of each subscription period unless you cancel before the renewal date. Non-renewing subscriptions: Other subscription types (such as fixed-term workshop access or promotional subscriptions) will expire at the end of the subscription period and will not automatically renew.
2. Fees and Payment
2.1 Fee Structure
Fees vary by subscription type. Some subscription types (such as those granted workshop access, or third-party platforms) carry no fees for the initial subscription period. Other subscription types require payment of subscription fees from the outset. Current subscription fees for each subscription type are posted on our pricing pages. All fees are in GBP unless otherwise specified. Where your subscription type includes an initial period with no fees (such as through an invite code, sign up link or third-party platform), you will become responsible for subscription fees if and when your subscription converts to a paid subscription.
2.2 Payment Methods
By providing payment information, you represent that you are authorized to use the payment method and agree to allow us to charge your chosen payment method for the subscription fees. Where payment is made by an organization on your behalf, that organization is responsible for all payment obligations.
2.3 Taxes
All fees are exclusive of applicable taxes (including VAT), which will be charged in addition to the subscription fees where required by law.
2.4 Invoicing
For customers who opt for invoice payment, invoices will be issued at the start of each subscription period and are due within 15 days of the invoice date.
2.5 Late Payments
For overdue payments, we reserve the right to:
- Apply a late payment fee of 4% plus the Bank of England base rate
- Suspend access to the platform until payment is received
- Terminate the subscription if payment remains outstanding for more than 14 days
3. Consultancy Services
3.1 Scheduling
For subscriptions that include consultancy sessions, these must be scheduled at least 7 days in advance through our booking system.
3.2 Cancellation
Consultancy sessions can be rescheduled or cancelled up to 48 hours before the scheduled time. Late cancellations or no-shows will result in the session being forfeited.
4. Subscription Changes and Cancellation
4.1 Upgrades
You may upgrade your subscription at any time. When upgrading, you will be charged the prorated difference between your current subscription and the new subscription for the remainder of the current billing period.
4.2 Downgrades
Subscription downgrades will take effect at the end of the current billing period.
4.3 Cancellation
You may cancel your subscription at any time by contacting info@gikiactions.com. Cancellations will take effect at the end of the current billing period.
4.4 Refunds
We generally do not provide refunds for unused subscription periods. However, partial refunds may be considered in exceptional circumstances at our discretion.
5. Content Usage and Restrictions
5.1 Licensed Use
The content provided through our subscription services is licensed, not sold, to you for use only under the terms of this license and our Master Terms and Conditions. Your subscription is for your internal business use only (though you may share, publish and retain the plans and reports generated for you, as set out in clause 5.3) and may not be used to provide services, advice, or deliverables to third parties on a commercial basis. If you wish to use Giki Actions to provide services to third parties, please contact us to discuss licensing options. This license does not allow you to use the content outside the scope of the service. All rights not expressly granted are reserved.
5.2 Prohibited Activities
In addition to the prohibited uses specified in our Master Terms and Conditions, subscribers are expressly prohibited from:
- Extracting, downloading, or compiling substantial portions of our content for use outside of the platform without our prior written authorisation
- Creating derivative works based on our content for commercial purposes
- Sharing subscription credentials with non-subscribers or enabling unauthorized access to subscription content
- Using automated tools to systematically extract content from our platform
- Using the content to train artificial intelligence or machine learning models
- Circumventing or attempting to circumvent any technical restrictions or access controls
- Redistributing or reselling access to the content or services
- Inputting or uploading the content into third-party artificial intelligence tools, large language models, or similar systems without prior written authorization
- Using the platform or its content to provide consultancy, advisory, or other professional services to third parties without our prior written agreement
5.3 Content Export
Limited exports of content for internal business purposes are permitted, provided that:
- Giki templates, frameworks, methodologies and other standalone materials are not shared externally beyond the subscribing organization
- The exported content is not used to create competing products or services
- Exports are limited to reasonable use consistent with your subscription tier
- Systematic bulk downloading or exports that suggest redistribution purposes require prior written approval
6. Term and Termination
6.1 Term
These Terms will remain in effect for the duration of your subscription.
6.2 Termination by Us
We reserve the right to suspend or terminate your subscription if:
- You breach these Terms or our Master Terms and Conditions
- Payment for your subscription fails or is overdue
- We discontinue the subscription service (with reasonable notice)
6.3 Effect of Termination
Upon termination:
- Your access to subscription content and features will end
- You must cease use of any content previously accessed through the subscription
- Any outstanding payment obligations will remain due
7. Changes to Giki Actions Terms
We may update these Terms from time to time. When we do we will notify through this platform. Continued use of the subscription services after such changes constitutes acceptance of the updated terms.
8. Limitations of Liability
Nothing in these Terms limits or excludes our liability for any liability which cannot be limited or excluded by applicable law. Subject to the preceding sentence, our aggregate liability to you under these Terms for any order whether in contract, tort (including negligence) or otherwise, even if we have been advised of the possibility of such damages shall in no event exceed the one hundred percent (100%) of the fees you have paid to us.
9. Business Users and Data Processing
9.1 Business Subscriptions
If you subscribe on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.
9.2 Data Processing
For business subscriptions, any personal data you upload to or process through our platform is handled in accordance with our Privacy Policy, which forms an integral part of these Terms. The Privacy Policy outlines how we collect, use, store, and protect all data on our platform.
10. Disclaimers and Customer Responsibility
10.1 Nature of the content
The reports, recommendations, action plans, scores, calculations, templates and other outputs made available through Giki Actions (together, "Outputs") are provided for general information and guidance purposes only. They are intended to help you build, implement and report on your climate action activities, but they are not, and must not be relied upon as, professional, legal, regulatory, financial, accounting or technical advice.
10.2 No substitute for professional advice
You are responsible for deciding whether any Output is appropriate for your circumstances. Before acting on any Output, particularly where it relates to statutory or regulatory reporting obligations, public environmental claims or disclosures, or representations about your environmental performance, you should obtain independent professional advice suited to your situation. Responsibility for compliance with any applicable law, regulation, standard or reporting framework remains with you at all times.
10.3 Accuracy and completeness
While we take reasonable care in developing our platform and content, we do not warrant that any Output is accurate, complete, current or error-free. Emissions factors, methodologies, regulations, standards and reporting frameworks change over time, and Outputs may be based on assumptions, estimates, generalised models or third-party data sources.
10.4 Reliance on your inputs
Many Outputs are generated from, or depend on, information you provide. You are responsible for the accuracy, completeness and timeliness of the data you input, and we are not responsible for Outputs that are affected by inaccurate, incomplete or out-of-date information supplied by you or on your behalf.
10.5 No guaranteed outcomes
We do not guarantee any particular result or outcome from using the platform or acting on any Output, including any specific reduction in emissions, cost saving, certification, rating, or compliance with any law, regulation or reporting framework.
10.6 Your decisions, your responsibility
Any decision you make or action you take based on the platform or any Output is made at your own discretion and risk. You remain solely responsible for your business decisions and for your own compliance with all laws and regulations applicable to you.
10.7 "As is" basis
Except as expressly stated in these Terms and to the extent permitted by law, the platform and all Outputs are provided "as is" and "as available", and we exclude all warranties, conditions and representations, whether express or implied, including any implied terms as to satisfactory quality, fitness for a particular purpose and accuracy.
